1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Apparent Group Limited ("Company," "we," "us," or "our") governing your access to and use of the Pidu mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

If you are a parent or guardian agreeing to these Terms on behalf of a child, you represent that you have the legal authority to do so and accept full responsibility for your child's use of the App.

• Access to a library of digital books, stories, and audiobooks
• Educational videos and learning content
• Read-aloud and text highlighting features
• Reading progress tracking and gamification features
• Parental controls and dashboard
• Personalized content recommendations

Features and content may vary based on your subscription plan and geographic location.

4. Important Disclaimers Regarding Educational Content

While we strive to provide age-appropriate and educational content, we make no guarantees regarding:

• Specific learning outcomes or academic improvements
• Suitability for individual children's educational needs
• Accuracy or completeness of educational information
• Alignment with specific educational standards or curricula

Parents and guardians should use their own judgment regarding content appropriateness and supplement App usage with appropriate educational resources and professional guidance as needed.

5. User Accounts

5.1 Account Creation

To use certain features of the App, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

5.2 Child Profiles

Parents/guardians may create profiles for their children within their account. You represent that:

• You are the parent or legal guardian of any child for whom you create a profile
• You have authority to consent to data collection on behalf of your child
• Information provided for child profiles is accurate

5.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion, with or without notice.

6. User Responsibilities

You agree to:

• Use the App only for lawful purposes and in accordance with these Terms
• Supervise children's use of the App as appropriate
• Not attempt to circumvent security features or access unauthorized areas
• Not use the App to transmit harmful content or malware
• Not reverse engineer, decompile, or disassemble the App
• Not use automated systems to access the App without permission
• Not infringe upon the rights of others or the Company

7. Subscription and Payments

Certain features of the App may require a paid subscription. By subscribing:

• You authorize us to charge your payment method on a recurring basis
• You agree to the subscription terms presented at time of purchase
• You can cancel your subscription at any time through your app store account settings
• Refunds are subject to the policies of your app store (Apple App Store or Google Play)

We reserve the right to modify subscription offerings, features, and availability at any time.

8. Intellectual Property Rights

8.1 Our Content

The App and its contents, including but not limited to books, stories, audiobooks, videos, illustrations, text, graphics, logos, and software, are owned by or licensed to Apparent Group Limited and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial purposes in accordance with these Terms.

8.3 Restrictions

You may not:

• Copy, modify, or distribute App content without authorization
• Use content for commercial purposes
• Remove copyright or proprietary notices
• Create derivative works based on App content

9. Disclaimer of Warranties

We do not warrant that the App will be compatible with all devices or operating systems. Some features may not be available in all regions.

10. Limitation of Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Apparent Group Limited and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of third parties
• Any content you submit or transmit through the App
• Your child's use of the App under your account
• Any reliance on educational content or recommendations from the App

12. Third-Party Services

The App may integrate with or link to third-party services, including:

• Payment processors (Apple App Store, Google Play)
• Analytics services
• Cloud hosting providers

Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their content.

13. Modifications to the App and Terms

We reserve the right to:

• Modify, suspend, or discontinue the App or any features at any time
• Update these Terms at any time by posting revised Terms
• Change content availability and features

We will notify users of material changes to these Terms. Your continued use of the App after such changes constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the App shall be resolved through:

1. Informal Resolution: First, by contacting us at support@apparentgroup.tech to attempt informal resolution
2. Arbitration or Courts: If informal resolution fails, disputes shall be resolved through binding arbitration or in the courts of Hong Kong, as applicable

For users in the European Union, you retain any mandatory consumer protection rights under your local law.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apparent Group Limited regarding the App and supersede all prior agreements and understandings.
